By accessing or using our Services, you (“Client,” “User,” or “you”) agree to be legally bound by these Terms.

I. General Legal & Website-Specific Clauses

By accessing or using our Services, you confirm that you are at least 18 years of age and agree to comply with and be bound by these Terms.

4. Intellectual Property Rights

• All original content, code, designs, graphics, and creative assets developed by us are the sole intellectual property of The Node Blox unless otherwise stated in a written agreement.
• Clients retain ownership of any pre-existing IP provided to us for use in projects.
• Clients receive a non-transferable license to use final deliverables only after full payment.
• Third-party assets (e.g., stock photos, plugins, fonts) are used under their respective licenses.
• Any unauthorized use of our intellectual property is strictly prohibited and may result in legal action.
• We comply with the Digital Millennium Copyright Act (DMCA) and will respond to any claims of infringement in accordance with U.S. copyright law.

5. Limitation of Liability

To the fullest extent permitted by law:

• We shall not be liable for indirect, incidental, punitive, or consequential damages.
• Our total liability for any claim related to our Services shall not exceed the total amount paid by the Client for the specific project or service.
• All Services are provided “as is” without warranties of any kind, including implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
• We do not guarantee specific results from SEO, PPC, social media, or app performance due to third-party platform dependencies.

6. Indemnification

You agree to defend, indemnify, and hold harmless The Node Blox and its employees, officers, contractors, and affiliates from any claims, damages, liabilities, or legal costs arising from:

• Your use of our Services;
• Your breach of these Terms;
• Your infringement of any third-party rights.

7. Governing Law & Dispute Resolution

• These Terms shall be governed by the laws of the Commonwealth of Virginia, without regard to its conflict of law provisions.
• All disputes shall be resolved exclusively through binding arbitration administered in Loudoun County, Virginia, and conducted in English.
• You waive your right to pursue legal action in any other court or jurisdiction.
• Both parties agree to attempt good-faith mediation prior to arbitration.

8. Termination of Services

We reserve the right to suspend or terminate Services if:

• The Client violates these Terms;
• The Client fails to pay invoices;
• The Client engages in illegal or abusive behavior.

Upon termination:

• Access to any deliverables may be revoked until payment is complete.
• We may retain project files for 30 days post-termination, after which we may delete them permanently.
• The Client may request their files in writing within that 30-day period.

9. Modifications to Terms

We reserve the right to update these Terms at any time. Changes will be posted to this page with a revised effective date. Your continued use of the Services after updates constitutes acceptance of the new Terms.

II. Service-Specific Clauses

A. Web Design & Development

• All project specifics, including deliverables, cost, and deadlines, will be documented in a separate Statement of Work (SOW).
• Clients must provide timely feedback, website content, branding assets, and domain/hosting access.
• Two rounds of revision are included unless otherwise agreed; additional revisions may incur extra charges.
• We are not liable for issues with third-party hosting providers.
• ADA compliance is offered as an add-on service unless specifically stated otherwise.

B. App Development

• Scope, features, platform (iOS/Android), and cost will be defined in a project SOW.
• Clients are responsible for creating and maintaining their own app store developer accounts.
• We are not liable for delays or rejections caused by app store policies.
• Use of third-party APIs will be governed by the respective third-party’s terms.
• Basic testing and bug fixes are included; ongoing support is a separate service.

C. PPC Advertising

• Clients must authorize access to their ad accounts.
• Clients are solely responsible for funding all ad spend directly with the platforms (Google Ads, Facebook, etc.).
• Our management fees are billed separately and do not include ad spend.
• We do not guarantee ad performance or results.
• Monthly reports will be provided to summarize campaign metrics.

D. Search Engine Optimization (SEO)

• No guarantees are made regarding search engine rankings or lead volume.
• Client must grant access to their website backend, Google Search Console, and Analytics for proper implementation.
• Cooperation is required for content or technical changes.
• Monthly SEO reports are provided.
• We use industry-recognized tools but cannot guarantee their accuracy.

E. Social Media Marketing

• Social media content will be submitted for client approval prior to publishing.
• Client must provide access to social media platforms (Facebook, Instagram, etc.).
• Community engagement (e.g., comment replies, DMs) is only included if specified in your service package.
• Campaigns will adhere to the terms of each platform.
• Influencer marketing services (if offered) will include proper disclosure per FTC guidelines.
• Metrics tracked may include engagement, reach, impressions, and follower growth.

III. Miscellaneous Clauses

1. Force Majeure

We are not liable for delays or failures in performance due to events beyond our control, including but not limited to natural disasters, outages, or government restrictions.

2. Severability

If any provision of these Terms is deemed unenforceable, the remainder shall remain in effect.

3. Entire Agreement

These Terms, along with any signed project agreements, represent the full agreement between the Client and The Node Blox.

4. Waiver

Failure by The Node Blox to enforce any part of these Terms is not a waiver of our right to enforce that provision in the future.
